Terms of Service for Northline Clip Studio

Effective Date: July 8, 2026

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Northline Clip Studio (“Northline Clip Studio,” “we,” “us,” or “our”), a clip-studio business located at 2140 W 4th Ave, Vancouver, BC V6K 1N6, Canada.

By accessing our website, requesting a quote, placing an order, signing a proposal or statement of work, paying an invoice, or otherwise engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms apply to all services provided by Northline Clip Studio, including custom clip art creation, brand icon sets, editorial illustration assets, social media visual packs, presentation graphics and templates, and print-ready graphic elements.

2. Scope of Services

Northline Clip Studio provides creative design and illustration services, which may include, without limitation:

Specific deliverables, timelines, file formats, usage rights, revision limits, and project milestones will be set out in a proposal, estimate, invoice, statement of work, email confirmation, or other written agreement (collectively, the “Project Agreement”). If there is any conflict between these Terms and a signed Project Agreement, the Project Agreement will prevail to the extent of the conflict.

Unless expressly agreed otherwise in writing, Northline Clip Studio does not provide printing, distribution, trademark registration, legal review, or marketing performance guarantees. Any mockups, concepts, or drafts provided are for review purposes only and may not represent final deliverables.

3. User Obligations and Responsibilities

You are solely responsible for the accuracy of any content you approve, publish, distribute, or otherwise use. Northline Clip Studio is not responsible for errors, omissions, or legal issues arising from client-approved content or client-supplied instructions.

4. Payment Terms and Conditions

All fees will be stated in Canadian dollars (CAD) unless otherwise specified. Taxes, including applicable GST/HST/PST, may be added where required by law.

Any estimate provided by Northline Clip Studio is based on the information available at the time and may change if project scope, complexity, deadlines, or client requirements change.

5. Cancellation and Refund Policy

You may request cancellation of a project by written notice to Northline Clip Studio. Cancellation terms depend on the stage of the project and any Project Agreement in place.

Because our services are custom-made and creative in nature, all sales are generally final once work has commenced, except as otherwise stated in a Project Agreement or required by applicable consumer protection law in Canada or British Columbia.

6. Liability Limitations

To the fullest extent permitted by applicable law, Northline Clip Studio will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business opportunity, loss of data, or reputational harm, arising out of or related to the services or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to any service, deliverable, or these Terms will not exceed the amount actually paid by you to Northline Clip Studio for the specific project giving rise to the claim during the three (3) months preceding the event giving rise to the claim, or CAD $500, whichever is greater, unless a higher amount is required by law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or any other liability that cannot lawfully be limited.

We do not guarantee that deliverables will be free from all errors, compatible with all systems, or suitable for every intended use unless expressly agreed in writing.

7. Intellectual Property Rights

Unless otherwise stated in a Project Agreement, all preliminary concepts, drafts, working files, source files, and unused concepts remain the property of Northline Clip Studio.

Upon full payment of all amounts due, and subject to the terms of the Project Agreement, Northline Clip Studio grants you a non-exclusive, non-transferable, non-sublicensable license or assignment of rights only to the final deliverables expressly identified as included in the project. The exact nature of the transfer or license will be determined by the Project Agreement and applicable law.

Unless expressly agreed in writing, you may not:

Northline Clip Studio retains the right to display completed work, including excerpts or mockups, in our portfolio, website, social media, award submissions, and promotional materials, unless the Project Agreement states otherwise in writing or the work is subject to a confidentiality obligation.

If you provide materials to us, you represent and warrant that you own or have the necessary rights to use them and that our use of them in performing the services will not infringe any third-party rights.

8. Data Protection and Privacy

Northline Clip Studio collects, uses, stores, and discloses personal information only as necessary to provide services, manage client relationships, process payments, communicate about projects, comply with legal obligations, and improve our business operations.

We will handle personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), and any applicable provincial privacy legislation.

By using our services, you consent to the collection, use, and disclosure of your information as described in these Terms and any applicable privacy notice. If a separate privacy policy is published by Northline Clip Studio, it forms part of these Terms to the extent applicable.

9. Force Majeure

Northline Clip Studio will not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to natural disasters, fire, flood, epidemic, pandemic, war, terrorism, labour disputes, power outages, internet or telecommunications failures, governmental actions, or failures of third-party service providers.

If a force majeure event occurs, our obligations will be suspended for the duration of the event. We will make reasonable efforts to resume performance as soon as practicable.

10. Changes to Terms

Northline Clip Studio may update or modify these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The updated Terms will be effective when posted on our website or otherwise communicated to you, unless a later effective date is stated.

Your continued use of our services after any update constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services and, if applicable, notify us in writing regarding any active project.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or any Project Agreement will be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Vancouver, British Columbia, Canada will have exclusive jurisdiction over any dispute arising from or relating to these Terms, subject to any mandatory consumer protection rights or other non-waivable rights under applicable law.

13. Severability Clause

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

If any invalid or unenforceable provision can be modified to make it valid and enforceable, the provision will be deemed modified to the minimum extent necessary to make it enforceable while preserving its intent as closely as possible.
